Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Teleprompter - Cinely iOS application (the "App") and the website at https://cinelyapp.com (the "Website"), operated by Rafael Asencio ("we", "us", or "our").

By downloading, installing, or using the App, or by accessing the Website, you agree to these Terms. If you do not agree, do not use the App or Website.

1. Eligibility

You must be at least 16 years old (or the age of digital consent in your country) and capable of forming a binding contract. If you use the App on behalf of an organization, you represent that you have authority to bind that organization.

2. The App and Website

2.1 App

Teleprompter - Cinely provides tools for script-driven video recording and take management on supported iOS devices. Features may change over time. Some features require a compatible device and iOS version.

2.2 Website

The Website is an informational marketing site. It does not provide recording functionality, user accounts, or web-based purchases.

3. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for personal or internal business purposes in accordance with Apple's App Store terms and these Terms.

You may not:

  • Copy, modify, or create derivative works of the App except as permitted by law
  • Reverse engineer or attempt to extract source code except where prohibited restrictions are unenforceable
  • Rent, lease, sell, or sublicense the App
  • Use the App for unlawful, harmful, or abusive purposes
  • Circumvent security or usage restrictions

4. Subscriptions and purchases (Cinely Pro)

Optional Teleprompter - Cinely Pro subscriptions and in-app purchases are offered through Apple's App Store. Apple (or its affiliates) is the merchant of record for payment processing. We do not collect your full payment card details.

4.1 Plans

Teleprompter - Cinely Pro is offered as auto-renewing subscriptions, including a weekly plan and an annual plan. The annual plan may include a 3-day free trial when displayed in the App at purchase time. Plan availability, pricing, and trial eligibility may vary by region and over time. A subscription is required to use the App's recording, script, and project features; there is no free tier.

4.2 Billing and renewal

Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Your Apple ID account is charged at confirmation of purchase and upon renewal. Manage or cancel subscriptions in Settings → Apple ID → Subscriptions on your device.

4.3 Pricing and changes

Prices are displayed in the App at the time of purchase and may vary by region or over time. We may change subscription offerings with notice where required by Apple or applicable law.

4.4 Refunds

Refund requests for App Store purchases are handled by Apple under Apple's policies. Contact Apple Support for billing disputes related to App Store transactions.

4.5 Free trials and promotions

If we offer a free trial (currently a 3-day trial on the eligible annual plan, when shown in the App), you will not be charged for the subscription until the trial ends unless you cancel at least 24 hours before the trial expires in your Apple ID subscription settings.

5. Your content

You retain ownership of scripts, recordings, and other content you create ("User Content"). You are solely responsible for User Content and for obtaining rights necessary to record individuals, locations, music, trademarks, or other third-party materials.

You grant us a limited license to host, process, and display User Content only as needed to operate the App on your device and provide features you request. We do not claim ownership of your User Content.

6. Acceptable use

You agree not to use the App or Website to:

  • Violate laws or third-party rights
  • Harass, threaten, or harm others
  • Distribute malware or interfere with systems
  • Attempt unauthorized access to our or others' systems
  • Misrepresent affiliation with us

We may suspend or terminate access for conduct that violates these Terms or poses risk to others.

7. Intellectual property

The App, Website, trademarks, logos, and underlying technology (excluding User Content) are owned by us or our licensors and protected by intellectual property laws. No rights are granted except as expressly stated.

8. Third-party services

The App may integrate with or link to third-party services (including Apple). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services.

9. Disclaimers

THE APP AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted, error-free, or secure operation, or that the App will meet your requirements. Recording quality depends on your device, environment, and settings.

Some jurisdictions do not allow exclusion of certain warranties; in those cases, exclusions apply to the maximum extent permitted.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE APP, WEBSITE, OR THESE TERMS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APP OR SUBSCRIPTIONS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) FIFTY EUROS (€50), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded under applicable law.

11. Indemnity

You agree to indemnify and hold us harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, misuse of the App or Website, or violation of these Terms or third-party rights, except to the extent caused by our intentional misconduct or negligence.

12. Termination

You may stop using the App at any time by uninstalling it. We may suspend or terminate your access if you materially breach these Terms or if required for legal or security reasons.

Sections that by nature should survive (including intellectual property, disclaimers, limitation of liability, governing law, and dispute resolution) survive termination.

13. Changes to the Terms

We may modify these Terms. We will post the updated Terms on https://cinelyapp.com/terms with a new "Last updated" date. Continued use after changes become effective constitutes acceptance where permitted by law. Material changes to paid features may require additional notice.

14. Governing law and jurisdiction

These Terms are governed by the laws of Spain, without regard to conflict-of-law principles.

If you are a consumer resident in the European Union, you also benefit from mandatory protections of the laws of your country of residence where they cannot be waived by contract.

Subject to mandatory consumer rules, the courts of Spain shall have jurisdiction over disputes, except that consumers in the EU may bring proceedings in their country of residence where required by law.

15. Dispute resolution and complaints

We encourage you to contact us first at cinelyapp@gmail.com to resolve concerns informally.

EU consumers may use the European Commission's Online Dispute Resolution platform. Nothing in these Terms affects your right to use official complaint channels.

16. Apple-specific terms

If you downloaded the App from Apple's App Store, you acknowledge that:

  • These Terms are between you and us, not Apple
  • Apple has no obligation to provide maintenance or support for the App
  • Apple is not responsible for product claims, intellectual property infringement claims, or third-party claims regarding the App
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you

17. Miscellaneous

  • Entire agreement — These Terms and the Privacy Policy constitute the agreement regarding the App and Website.
  • Severability — If a provision is unenforceable, the remainder remains in effect.
  • No waiver — Failure to enforce a provision is not a waiver.
  • Assignment — We may assign these Terms; you may not assign without our consent.
